Terms of Service (Public Offer)

This Service Agreement (Public Offer) is issued by IZIBIZI, Inc., operating under the brand ZOVO (hereinafter referred to as "Contractor"), and constitutes a proposal addressed to an unlimited number of individuals (hereinafter referred to as "Customers") to enter into a contract under the terms set forth below.
DEFINITIONS
- Public Offer ("Offer") – The Contractor's proposal to enter into a service contract under the terms defined herein.
- Acceptance – Full and unconditional acceptance of this Offer by the Customer, confirmed through payment as outlined in Section 2.
- Agreement – A legally binding reimbursable contract between the Contractor and Customer, concluded upon Acceptance.
- Contractor – IZIBIZI, Inc. (ZOVO).
- Customer – An individual who accepts this Agreement and receives services under its terms.
- Parties – The Contractor and Customer jointly.
SUBJECT OF THE AGREEMENT
The Contractor agrees to provide services to the Customer in accordance with the terms of this Agreement and relevant service policies. The Customer agrees to accept and pay for the services.
- The Contractor may engage third parties to fulfill services without requiring Customer’s prior consent.
- Services commence upon receipt of full payment.
- Acceptance occurs at the time of payment.
TERMS AND CONDITIONS OF SERVICE
Services will be provided under the following conditions:
- The Customer has accepted this Agreement.
- The Contractor will provide access to the agreed program or platform proportionate to the payment made.
- The Contractor is not responsible for third-party misuse of Customer data.
RIGHTS AND OBLIGATIONS
Customer Obligations:
- Must be at least 16 years old or the minimum legal age in their country.
- Must not have had previous accounts terminated for violations.
- Must provide accurate, up-to-date information.
- Must not resell, distribute, or copy content from zovo.me or zovo.app.
- Any copying or reproduction is a breach subject to legal action.
Contractor Rights:
- May suspend services for technical or compliance issues.
- May unilaterally suspend services if the Customer breaches this Agreement.
- May modify this Agreement in accordance with its terms.
PRICE AND PAYMENT
- Service prices are determined unilaterally by the Contractor and may change at any time.
- New prices take effect upon publication on zovo.me or zovo.app.
- Services require 100% prepayment.
- Payment must include the statement: "I've read and accept the terms and conditions."
SPECIAL TERMS AND LIABILITY
Customers are responsible for:
- Complying with applicable law, including intellectual property and consumer rights.
- Providing truthful and updated information.
The Contractor is not liable for:
- Customer’s actions or their consequences.
- Any direct, indirect, or consequential damages.
- Any damages exceeding the amount paid by the Customer.
Force Majeure: The Contractor is not liable for failures caused by uncontrollable events (e.g. natural disasters, legal changes, cyberattacks, civil unrest).
DISPUTE RESOLUTION
- All disputes will first attempt to be resolved through negotiation or a formal claim reviewed within 10 calendar days.
- If unresolved, disputes will be referred to the appropriate court under Delaware law.
TERM AND MODIFICATION OF AGREEMENT
- This Agreement becomes effective upon Acceptance.
- It remains in force until service obligations are fulfilled or the Agreement is terminated.
- Modifications become effective upon publication.
- Revocation of the Agreement constitutes termination.
FINAL TERMS
- Agreement may be terminated by mutual consent or unilaterally for violations.
- Lack of a signed paper copy does not affect its enforceability if payment has been made.
